FWIW i think what’s important for VCs if not founders is that the board >roughly< reflects the cap table

If the seed investor owns XX% and more than a modest amount has been invested — they should have a board seat.  That’s important for the money invested IMHE.

As ownership whittles down, it should be rebalanced.

I know there are lots of points here, but I do think from a VC perspective, some governance and rough checks and balances matter.  At least rough ones.

Having a board that is roughly proportionate to the cap table helps here.
