You are correct. The acquisition of $PBH by Mixi is blocked by $BBT who have a XX% stake, so there can be no court supervised scheme of arrangement. Instead Mixi will attempt an off-market takeover bid as per the mechanism under Chapter X of the Corporations Act 2001 (Cth). It will give Mixi control for normal resolutions (50%) and if they obtain over XX% for special resolutions. But not outright ownership given the XX% stake by BETR.  Ultimately $BBT might consider selling their stake at a premium as like an arbitrageur they have done very well with their holding.
