"Is this the norm Why are the biggest operators the most open Had a 45-min call with a gentleman whos about to close his first 9-fig PE fund to buy businesses from retiring owners. A few great takeaways: He's an expert at transforming under-optimized businesses and has multiple 3-5x outcomes. Recently grew a 50m company to a $160m then sold. A killer GP and executive team. People with at least 15+ years industry expertise. Wildest and THE best part they are absolutely bombarded with the deal-flow. Getting 20+ deals per day. And then this: Shoot me your email. Ill send our deck side"

"Gladly he was also happy to share all the details and lessons learned about how he left the PE fund to acquire these two companies from the research the funding (the types of investors he chose) and the exact thesis behind his investments. (Truly a gold mine information that XX% of people don't have access to.) Ill share all of this in next weeks newsletter (with persmission of course). Sign up it's free:"

"A little Tuesday morning reminder: Cash flow is king. This comes from the savviest people who do $210M+ EBITDA buyout deals. One even calls the following his 10-second MBA:"

"Had a partner of an European PE fund on the pod A gentleman in mid 40s It took them 19-20 months to raise the fund I Hardest thing Ive ever done Today deploying capital from fund II and already working on the fundraising for fund III What a man what a story what a life"

"The "magic formula" after XX acquisitions: only partner with operators who stay Im not interested in acquisitions in which the owner wants to leave. Kelso Industries buys XXX% but sellers roll equity and have 3-year earnouts. Relationship businesses require continuity to keep the profit engine"

"I believe it is a great time to have John Caple explain his story and lessons after XX years in private equity. $260m fund I $465m fund II $800m fund III They invest in lower middle market industrial and business services companies paying 4-8x EBITDA per deal making them a true value shop. I dont want to pay X times for X times business. I want to pay X times for a business that one day can trade for X XX XX times. Well thats what everyone wants to do But how we do it is by buying founder and family owned businesses. We never buy from another private equity firm. We had a blast. I hope you"

"Interesting article in yesterdays WSJ. Despite Hailey Bieber selling her company for $1B she shares how she decided to stay with the business; its her passion project. She is not an absentee owner; she is truly a hands-on owner operator. In ones first principal deal let alone others later on does it pay to be hands-on boots on the ground. Beginning in March 2022 the Fed began raising interest rates. Financial engineering as it was known or the support of leverage in leveraged buyouts was a tailwind to private equity for XX years (19812021). Now today the focus from LPs is on which private"

"Sometimes I just dont understand how people do this I just talked to a gentleman who made his first acquisition four years ago. 25+ acquisitions since then. This year in May their last XX months revenue exceeded $X billion. I guess you have to know your North Star and go from there. What they did was first set a goal to achieve $10M in EBITDA. They first thought it would take X years. Maybe even longer. maybe X years They accomplished it in XX months. This was immediately followed by a meeting where the co-founder/CEO asked the team: What is everyones appetite to keep going Without even"

"This same friend is XX and has ca $4M in liquid assets mostly cash. He started playing online poker at XX thats XX years of hard work. He lives in Europe so most days he has to stay up late and/or wake up very early to play against players in the US and Asia. Then life happens: he has a family now a 3-year-old at home and just like that TIME has become the finite resource. Much more so than dollars. Given the discussion weve had now its all about protecting preserving and compounding. I find his situation very similar to that of gentlemen operating traditional niche businesses: they all run"

"I hear more stories where folks in their 50s decide to cash out by selling their lifes work to private equity. Take a traditional business in the services space doing between $2-5M in EBITDA which theyve built over two decades. XXX% understandable Then they put aside whats needed for themselves and their families to live a good stress-free life - two homes - cars - a boat for fishing - kids universities Then with the rest they partner with younger folks to get back into business. Back into building and growing another traditional cash-flow business. They acquire this $20M+ services company."

"Spoke to a private equity professional who bought two companies. He said that after years of study he can boil down every investment thesis to three things: X. Why does this industry exist and will continue to do so X. Why does this company exist and will continue to do so X. And at what price is this attractive"

"There is some very interesting research on the potential return on investment (ROI) of starting a search fund. Should one start it solo or with co-founders It says solo searchers have returned an IRR of XXXX% compared to partnership returns of XXXX% in 2022. Partnered search ROI was 3.8x compared to 2.9x for solo searchers in this 2022 study an improvement from 3.7x and 2.4x in the 2020 study. While partnered searches have outperformed solo searches in the aggregate we have seen an increase in the number of solo searchers with returns greater than 5x and 10x in the last decade. Post 2009 52%"

"Some things are very hard to compensate. Especially when you're in your late 20s or early 30s wanting to do a $2-10m EBITDA buyout deal. This is very different from Silicon Valley. Early stages or Series A. At those traditional companies (aka buyouts) young people are almost never involved in decision making positions. The founder in his 50s 60s or 70s is much more comfortable talking to a 50-year-old who already has a liquidity event under his belt as opposed to a 30-year-old even if EQ and IQ are both there. That's how it is"

"Imagine being in your early 30s starting a private equity fund and raising $XXX million as your first fund. All this with no prior track record and without your rich father or uncle. Years later you own 90+ companies have $XXX billion in AUM your EBITDA is growing at XX% year-over-year and only Thoma Bravo has outperformed you X. "Stock and bonds are boring so we went into private equity." X. "The concept of thematic research helps us find the best companies with the strongest tailwinds (returns could be 6-7 times invested capital)." X. "Imaging taking one company doing $3.5M and growing this to a portfolio of XX companies doing $XX million. In 5+ years. I just finished a 70-minute conversation with a gentleman who did exactly that. I felt stuck. I was struggling. Then I found EOS and implemented it. EOS (Entrepreneurial Operating System). Today years later again he runs a portfolio of XX companies does $77M in sales and still owns the majority of it. Most importantly he has tons of time so he can play golf with his two kids (12 and 14). What a man. What a story. What a life. Now he's still you so hes planning the next growth"
