CFO Steve Hamner knew in late-December that the $335MM MPT takeout of the Cerberus convert was intended to allow RDLT to be "free at last. to take a well-deserved distribution" of $111MM. MPT counsel warned MPT that RDLT was trying to circumvent SHCS board approval MPT funded the Cerberus convert take-out on 8/1/21 regardless. Distribution declared one day later MPT then told investors SHCS has "a tremendous liquidity and equity value" coming out of the COVID year of 2020"
