That's incorrect.  Howey is all about HOW an asset is exchanged.  If the asset could represent a security then it is.

By your theory, if I mint a token called My company shares on ETH, and sell it to raise capital directly with institutions and retail, just cos ETH is decentralized it doesn't mean I am not breaking securities laws.

This theory is an old Gary Gensler BS theory.  How information is stored in not relevant, it's the investment contract that is important.
