Engaged Capital, an activist insider, put money in at preferred terms and is significantly increasing its ownership when it is already the second biggest shareholder behind the founder/CEO. D.A. Davidson was the underwriter, and the offering costs $XXX million in fees. This is silly. Perfect example of a company that should be taken private and save all sorts of money on needless expenses associated with being public. BRC lost $8m in 1Q25 and had $3m on the books at the time of the earnings - they desperately needed this capital.
