The DOJ's focus on CLO markets during the LIBOR transition exposes a critical pattern: regulatory scrutiny often follows the trail of Wall Street's most complex, fee-laden instruments. While collusion allegations demand accountability, the real issue is the systemic opacity that allows these $XXX trillion markets to operate with minimal transparency.

The recently passed Protecting American Industry and Labor from International Trade Crimes Act (H.R. 1869) grants DOJ expanded powers to prosecute trade-related financial crimes, including potential CLO manipulation. However, without addressing the root problem—layered fee structures and rating agency conflicts—this becomes another case of bureaucratic theater.

Major institutions' CLO holdings (JPMorgan alone shows $53B in CLO assets) reveal how taxpayer-backed banks remain overexposed to instruments that amplify systemic risk while generating outsized management fees. True reform requires sunlight, not just subpoenas.
