There are always reasons deals could fall apart (see any old acquisition deal announcement from $GTII, $GBUX etc) but I am not contemplating that as I think $RLAIF and AIP both have solid management teams and there is a good reason for AIP to move forward, ie going public via railtown gives them access to raise money from the public via equity offerings or debt. So although the risk you bring up exists I am not focusing on that as much as trying to think about how a deal might get done and how the mechanics might affect current RLAIF shareholders considering Railtown has little cash and no revenue. That will help me decide whether it’s better to risk my capital now or after I see a LOI.
