TL;DR

- Windsurf’s ~250 employees expected an OpenAI acquisition; instead, they learned the deal had fallen through, morale crashed, and the company faced four options: raise, sell, wind-down, or keep running.  

- Within hours, Cognition (makers of Devin) cold-texted “Chat?”; the teams realized a merger made sense, Cognition needed Windsurf’s GTM/marketing strength, Windsurf needed Cognition’s core AI engineering.  

- Negotiations started Friday evening; Scott and Russell worked out of Windsurf’s office all weekend.  

- Despite fresh inbound interest from other acquirers, Windsurf signed Cognition’s LOI on Saturday and closed the definitive agreement Monday at 9:30 a.m, one of the fastest deals their lawyers had seen.  

- Deal terms: every Windsurf employee got a full payout, all cliffs waived, all vesting accelerated.  

- Monday XX a.m. all-hands announced the acquisition; employees cheered when told they’d receive years 1-4 of equity immediately.  

- The combined company now operates as one entity with two brands, focused on building an end-to-end AI platform.
