The transaction size is to be determined at close, but is estimated at approximately $X billion. CRWV noted that the acquisition would help the company progress to a vertical supplier of data center infrastructure for AI and high-performance compute with roughly XXX GW of gross power post-close and with a potential X GW+ of potential incremental power available for expansion, longer term. While we are positive on the longer-term benefits from the acquisition, we think there are key near-term overhangs for CRWV to pass. Consequently, we move to the sidelines on the name for now, as we downgrade CRWV to Hold. We raise our target price to $XXX from $75."
