Torrent Pharmaceuticals will acquire a controlling stake in J. B. Chemicals and Pharmaceuticals (JB Pharma) from KKR, followed by a merger. The deal values JB Pharma at ₹25,689 crores. 🤝 Torrent will acquire a XXXXX% stake through a Share Purchase Agreement (SPA) for ₹11,917 crores, followed by a mandatory open offer. The open offer price is ₹1,639.18 per share. Additionally, Torrent plans to acquire up to XXXX% of equity shares from JB Pharma employees. The merger will result in shareholders of JB Pharma receiving XX shares of Torrent for every XXX shares held.
