"$PTEC sells its Italian B2C online gaming business to Flutter for 2300m. Management negotiated with large shareholders to pay themselves 134m of the proceeds. Management also introduced a new "incentive plan" details of which are buried at the end of the very long announcement which would see them receive XX% of *all* future distributions - effectively gifting themselves XX% of the company. Shareholder funds have been used to build this business. Management is taking XX% for the big guy in return for distributing shareholders own money to them"
