The hard and right thing was to do mass layoffs early. Not doing this and impatience caused them to agree to a horrible merger agreement. Now because of a horrible agreement every board of directors integrity is compromised. If the board doesnt recommend the underwater acquisition then the company loses $XX million in a breakup fee. If they do recommend the acquisition at an underwater valuation to the company the shareholders vote"
