"IMO both are true but the order matters. The flood of private capital only works as a substitute because we first made going public expensive (& risky & short-term focused). You are right on incentives though. If you can get clean liquidity at a strong price without disclosure quarterly pressure etc it is rational to take it and in most cases its a lower cost of capital than public markets BUT this market did not just grow by accident. It grew because founders and investors were pushed away from public ones over time"
