"Management buyout (MBO) economics in Japan are absolutely insane. How insane Imagine offering a XX% premium for the XX% of a company that you don't own. Yet after the deal closes you have cashed out almost XXX% of the value of your equity stake valued at the deal price despite now owning XXX% of the company. How does that work Below I break down a recent MBO deal that is being thwarted by an activist shareholder. Soft99 a car-care products manufacturer agreed to be taken private by its President and his family at a XX% premium to the undisturbed trading price. At the deal price the company"

"Did Japan just see its first outright hostile bid from a foreign strategic acquiror (at least in living memory please correct me if I am wrong) The M&A market in Japan continues to heat up Taiwanese firm Yageo's hostile bid for Shibaura was one of a multitude of take private deals announced in the last week or so. Many of the targets had activists on the register whose presence likely catalysed the deal process. In the past if a company did not respond to approaches as occurred with Yageo's approaches to Shibaura then the acquiror simply walked away. Now it seems even foreign acquirors are"

"π‘ I made the mistakeso you dont have to. One key lesson from my time investing in Japanese equities: never underestimate the value a private equity buyer might see in a Japanese public company. The combination of solid fundamentals activist involvement and a PE exit can drive outstanding returns. I saw this firsthand with Fuji Soft and it taught me a lotespecially about the hidden value thats often only visible to aggressive hands-on owners. Heres the story π In early 2022 I began building a position in Fuji Soft within the Platinum Japan strategies. The IT services sector in Japan benefits"

"Two very interesting slides from Hiromi Yamajis presentation at the DAIWA SECURITIES Co Ltd Sydney conference. The first shows the massive outperformance of companies that released cost of capital conscious management plans in response to the Tokyo Stock Exchanges request that were submitted to the TSE by investors as examples of good case studies. We can also see in the chart that the stocks of companies who have not disclosed have massively underperformed. Could the market send a clearer signal to Japan Inc The second chart shows the major impact of the governance reform push with nearly"

"Nintendo is a household name but did you know that the founding family of Nintendo the Yamauchi family have found success as shareholder activists Taisei Corporation has just agreed to acquire Toyo Construction of which the Yamauchi family own XX% for approximately XXX billion in what is shaping up to be the largest acquisition of a public construction company in Japan's history. This deal is the culmination of a dramatic saga of a board that failed to consider shareholder interests dramatic shareholder activism and now a major privatisation. In 2022 Toyo agreed a take private deal with its"

"Two huge events in Japans public M&A market in the last few days. First A hostile takeover by Taiwanese co Yageo for Shibaura Electric looks likely to complete after the white knights lower tender offer expired. Yageos final price is XX% above the initial offer so thus is a great outcome for Shibaura shareholders. A hostile takeover by a foreign strategic acquiror marks a complete sea change in Japan M&A. Second activist fund Effisimo (which ahs investment from Australias Future Fund) has launched a takeover bid for car care products company Soft99. Soft99 was being taken private in a"

"@GusMcCubbing has produced an excellent article for the @FinancialReview on the growing excitement about Japanese equities amongst global fund managers and the fundamental reasons for this phenomenon. He printed a quote from me that I believe accurately sums up the major opportunity in Japan: Weve reached a tipping point in the corporate governance reform where management now have to pay more attention to shareholder interests The article is well worth a read. I have linked to it in the comments. Most of those quoted in the article are global managers. π If you are a wholesale investor and"

"Do you make your own luck (hard work and initiative) or do fortune and serendipity play a large role (Part four) One day @cameronrob1 announced he was leaving CP2 to join Platinum Asset Management. Platinum had sailed through the GFC with incredible relative performance was beloved by its clients and was in a great position to hire. I had joined CP2s equities team by that stage but had missed that Platinum was hiring. I immediately applied and after reading 15+ years of Kerr Neilson's quarterly reports and interviews with Jacob Mitchell Andrew Clifford and others I landed an analyst role."

"π» When is a brewer not really a brewer π’ When the redeveloped site of its former brewery in Shibuya Tokyo as well as other major real estate holdings are worth more than its beer business πΊ In a major win for shareholders Sapporo Holdings brewer of the Sapporo and Yebisu beer brands has agreed to sell a majority stake in its real estate business to KKR and PAG. KKR and PAG won out over several dozen bidders for the assets. Activist 3D Investment Partners' success with Sapporo follows on in quick succession from their recent win with Fuji Soft which also owned a lot of real estate and was"

"Have you heard about the Japanese chemicals company with a billion dollar art collection DIC (4631.T) has an activist shareholder on the register. The activist has quite reasonably pointed out that it is probably a misallocation of capital for a chemicals company to operate a museum of art. Especially one that owns works by Pollock Rembrandt Picasso Monet Renoir Rothko and others. As you would expect under JGAAP the works are held at historical cost of $280m but could be worth well over a billion dollars at today's prices. I have included some of the collection in the attached images. Enjoy"

"Regime change in Japan's equity markets Shrikant Kale of Jefferies argues we are seeing the end of the dominance of the "mean reversion" factor in Japan and an end to multiple decades where momentum has not worked (see chart below). Elsewhere in the world the dynamic was the opposite with the momentum factor having dominated since the early 2000s (see chart). In Japan though unlike the US it is the "value" stocks that have had momentum recently (see chart). If you are a global allocator how are you thinking about this dynamic in relation to your portfolios"
