"Excellent announcement by $IMB.AX Johnson Controls signaled a strategic review months ago and is now actively streamlining its portfolio. This transaction looks like a clear bargain. The business was non-core and immaterial for JCI which likely explains the attractive valuation while IMB seized the opportunity. Strong execution by Dennison and the team. Based on current figures and the assumptions outlined on the final slide the asset implies roughly 200% upside on EV/EBITDA and approximately 325% on EV/S from current levels. $IMB.AX very significant and transformative acquisition - NZ 89.5"

"Why $CSU.TO should do buybacks makes no sense from a capital allocation perspective (assuming CSU continues its policy of never selling shares) Ive seen the argument pop up repeatedly on my timeline that Constellation Software should do share buybacks. That claim doesnt hold up once you look at CSUs capital allocation framework. First some context: CSU has never reduced or increased its share count. Thats not accidental. It reflects how management evaluates and thinks about capital allocation decisions. CSUs internal hurdle rate for capital deploymentprimarily through M&Ais north of 20% IRR."

"Why [--] Years of Data Is a Bigger Moat Than Any AI Model Everyone is excited about AI. Vibe coding lets anyone spin up an app in a weekend. Entire SaaS products can now be recreated with a few prompts. This has led to a popular conclusion: software is being commoditized. That conclusion is both true and deeply misleading. "The point on diversification is that the less research you put in the less boxes it ticks the more diversification makes sense. If one buys net-nets without a clear catalyst it might improve IRR. While having a catalyst + net-net it might make sense to concentrate. In general youre playing the odds and it certainly makes sense to concentrate on high EV bets. Diversification is often looked down upon in investing. "After researching hundreds of companies Ive realized that the hardest part of investing is finding capable management teams. Thats why I now try to speak with management earlybefore committing to deep research. Ive lost count of how many cheap high-quality businesses Ive passed on simply because they were run by poor capital allocators. In my view even a great business becomes a bad investment in the wrong hands. Think about it: in many cases all they need to do is return capital to shareholders. Instead they choose to reinvest at low IRRs"

"Yeah youre right. CSU would have to return 20% IRR solely from cash and no multiple expansion BUT as CSU has almost no organic growth the equation would look like this: 100% reinvestment into buybacks at 20% IRR (5x earnings) + 0% organic growth + 0% dividend yield = 20% IRR. https://twitter.com/i/web/status/2019005857749410212 https://twitter.com/i/web/status/2019005857749410212"

"Disagree because even then the Q would be buying back shares or deploying at lower IRR. Lets say lowering to 15% hurdle rate helps with deploying the remaining 25% it would make sense to reinvest it at lower IRR over buybacks. Further the next assumption would be if the shareholder has a better use of that money to deploy it at higher IRRs CSU could. At 13x earnings were talking about a 8% yield. If shareholder able to deploy at 10% IRR dividend would be a better move (not taking tax disadvantage into account). https://twitter.com/i/web/status/2019012672038039677"

"What is CSU platform It requires to lower internal hurdle rates first to make sense to do buybacks. Theres no value created through further acquisitions if everything is spend on buybacks as theres no cash left for m&a. Do the math yourself. Youll see that buybacks make only sense if they dont manage to deploy all incremental capital but returning cash would like be preferred over deploying lower IRR"

"The multiple would move either way if or if not done buybacks. EPS would grow in case of buybacks but you wont benefit from multiple arbitrage if they dont sell their shares theyve acquired. Check it via excel. Only makes sense if incremental capital cant be deployed at similar rates or higher rates as buybacks. As I mentioned we know from the past that CSU prefers dividends over low IRR investments"

"Nope. Show me the excel. Im 100% sure youre wrong in your thought process. Buybacks increase EPS. Share price has no impact on EPS. You issue shares at higher price lower your EPS but get cash in the bank. So you buy back at lower IRR and increase EPS but then sell at double the multiple for double the money and increase EPS at a similar rate. You end up with value creation by issuing shares. If you dont sell the whole value creation was EPS. Do the math. Check your facts. As long as Yield + perpetual organic EBITDA-Growth hurdle rate youll always be worse off."
